PRIVACY POLICY
(the “Policy”)

IMPORTANT NOTICE:
BY PROVIDING PERSONAL INFORMATION TO WAREHOOS, INCLUDING THROUGH THE USE OF THE WAREHOOS PLATFORM OR APP (OR ANY PART THEREOF), THE USERS CONFIRM THAT THE USERS HAVE READ, UNDERSTOOD, AND AGREED TO THE TERMS AND CONDITIONS SET OUT IN THIS POLICY, AS MAY BE AMENDED FROM TIME TO TIME BY WAREHOOS. 

1.0 ACCEPTANCE OF TERMS AND CONDITIONS

1.1 - This Policy will govern the collection, use, disclosure, retention, and disposal of personal information received by Warehoos Online Inc. and its subsidiary, related, or affiliated corporate entities or agents (collectively, “Warehoos”), regardless of the manner in which the personal information is provided to Warehoos. This Policy is compliant with all applicable federal and provincial privacy laws (collectively, the “Privacy Protection Legislation”). Warehoos is entitled to amend, revise, modify, or replace in its entirety, the terms and conditions of this Policy at the sole discretion of Warehoos and without prior notice to the Users.
1.2 - Warehoos is committed to the delivery of excellent service, including services provided through Warehoos’s website located at https://warehoos.com/ and the Warehoos App and any associated websites, platforms, or applications or any component thereof (collectively and each individually, the “Warehoos Platform ”). Warehoos is committed to ensuring the security and integrity of all personal information that may be collected, used, disclosed, retained, and/or disposed by Warehoos from the users of the Warehoos Platform (individually, the “User”, or collectively, the “Users”), in accordance with the terms and conditions of this Policy.
1.3 - By using the Warehoos Platform or continuing to provide to Warehoos the User’s personal information, the User confirms acceptance of and is deemed to have accepted the terms and conditions of this Policy, as may be amended from time to time by Warehoos. If a User does not agree to the terms and conditions of this Policy, as amended from time to time by Warehoos, the User must immediately navigate away from the Warehoos Platform, refrain from providing personal information to Warehoos, and withdraw the User’s consent in accordance with the terms of this Policy.

2.0 PERSONAL INFORMATION & PERMITTED USES

2.1 - Personal information is any information about an identifiable individual and includes the following information: names, phone number, address, e-mail address, financial information, and any other information about an identifiable individual.

2.2 - Warehoos only collects personal information about identifiable individuals if such personal information is voluntarily submitted by or otherwise provided from the Users to Warehoos. If a User uses the Warehoos Platform, the User confirms that the User is voluntarily providing personal information to Warehoos. Any personal information received by Warehoos will be used, disclosed, retained, and/or disposed in accordance with the terms and conditions of this Policy.

2.3 - By By providing the User’s personal information, including without limitation through the use of the Warehoos Platform, the User consents to Warehoos’s collection of the User’s personal information and authorizes Warehoos to use the User’s personal information for any and all of following purposes (collectively, the “Permitted Uses”):
a) to create and administer an account for the User and enable the User’s access to the Warehoos Platform;
b) to verify the User’s identity as an authorized User in respect of any account;
c) to implement, carry out, or maintain security measures aimed at protecting the User from identity theft, fraud, or unauthorized access to the User’s account;
d) to attend to all matters necessary for or incidental to fulfilling any order or purchase made by the User; e) to provide the User with any requested products, services, or subscriptions;
f) to contact the User for the User’s views regarding Warehoos or the Warehoos Platform or any product or service on the Warehoos Platform;
g) to contact or engage the User in respect of or administer and manage any survey, questionnaire, or other research activity, contest, promotion, referral program,
or gift card or credit on the Warehoos Platform and the User’s participation therein or use thereof;
h) to publish any review submitted by the User on the Warehoos Platform and use it for marketing or advertising purposes; i) to notify the User about important changes or developments to the Warehoos Platform or updates regarding Warehoos’s events, products, or services;
j) to establish and maintain a relationship with the User, develop or improve the User’s experience, certain features of the Warehoos Platform, and Warehoos’s service offerings, and provide quality service;
k) to market products and services to the User;
l) to gather, measure, analyze, and use tracking information and the behaviors and usage patterns of the User;
m) to use in the analysis related to the efficient operation and improvement of the products and services provided or that may be provided by Warehoos;
n) to process or respond to the User’s inquiries or application for current or future employment opportunities or to manage any ongoing employment or contractual relationship;
o) to confirm information provided by the User to ensure accuracy and completeness;
p) to be used in the course of Warehoos obtaining professional advice;
q) to be used in any manner necessary to fulfilling a legal obligation placed on Warehoos by law or that Warehoos believes to be placed on it by law, establishing or defending any legal claim, or enforcing the Terms of Use, Terms of Sale, the Policy, or any other agreement that Warehoos has with the User; and
r) to be used in any manner by Warehoos that is authorized by Privacy Protection Legislation.

2.4 - Warehoos may provide the Personal Information to third parties, including parties who act for or provide services to Warehoos for the purposes set out in this Privacy Policy or as otherwise notified to the User.

2.5 - Warehoos may retain the Personal Information on Warehoos’s servers (the “Warehoos Servers”), which may be in Canada, the United States, or other countries as determined by Warehoos from time to time. The User acknowledges that while the Personal Information is outside of Canada, it is subject to the laws of the country in which it is held, {211868-03934024;2} and may be subject to disclosure to the governments, courts, or law enforcement or regulatory agencies of such other country, pursuant to the laws of such country.

2.6 - Warehoos will not use the Users’ personal information for purposes other than the Permitted Uses and Warehoos will not rent, sell, or give the Users’ personal information to third parties unless in accordance with the terms and conditions of this Policy.

2.7 - If the User withdraws its consent to the User’s personal information being used for one or more of the Permitted Uses, the User must notify Warehoos in writing (the “Withdrawal of Consent”) and cease using the Warehoos Platform. After receipt of such written notice, Warehoos will take steps to ensure that the use of any personal information is in compliance with any such written notice, subject to the obligations of Warehoos under the Privacy Protection Legislation or other applicable law. The User acknowledges and understands that if a Withdrawal of Consent is delivered to Warehoos, Warehoos may cease to provide services to the User as a result of the User’s removal of consent to use the personal information for any or all of the Permitted Uses.

3.0 ACCESS, CORRECTIONS & DESTRUCTION OF PERSONAL INFORMATION

3.1 - Warehoos will not collect, use, disclose, or retain any personal information unless:
a) it is necessary for some or all of the Permitted Uses; and/or
b) it is necessary for Warehoos to comply with applicable Privacy Protection Legislation or other applicable law.

3.2 - Warehoos will retain personal information for only as long as necessary under section 3.1 of this Policy (the “Retention Period”). After the expiration of the Retention Period, Warehoos will remove, dispose of, and destroy the personal information in the possession and control of Warehoos.

3.3 -  At any time by writing to the Privacy Officer, the User may request to examine the User’s personal information that is in the possession and control of Warehoos, provided that any examination will be carried out in accordance with applicable Privacy Protection Legislation or other applicable law

3.4 - At any time by writing to the Privacy Officer, the User may request a correction of the User’s personal information. Upon receipt of any such request, Warehoos will take commercially reasonable steps to ensure that the User’s personal information is accurate, complete, and current, provided that the personal information and amendments thereto will be carried out in accordance with applicable Privacy Protection Legislation or other applicable law. 

4.0 COMMITMENT TO MAINTAIN SECURITY

4.1 -  Warehoos is committed to protecting personal information in the possession and control of Warehoos and will implement commercially reasonable procedures to prevent the unauthorized access, use, and disclosure of personal information, including the following safety protocols to ensure protection of personal information in the possession and control of Warehoos:
a) using a 128-bit encryption to protect the User’s personal information submitted to Warehoos, which will protect the User’s information against loss or theft and unauthorized access, disclosure, copying, use, or modification;
a) storing and processing all personal information received by Warehoos in a secured area; {211868-03934024;2}
b) restricting access to the personal information to a limited number of authorized personnel and enabling access by those authorized personnel through use of a unique username and password;
c) physically restricting access to records containing paper copies of personal information to authorized personnel;
d) prohibiting the removal of personal information from the Warehoos business premises; and
e) requiring all Warehoos employees to affirm their agreement to treat the personal information in accordance with this Policy.

4.2 - If Warehoos becomes aware of any breach of any provision of this Policy, Warehoos will take immediate action to correct such breach and notify those Users affected by the breach and inform them of the steps taken by Warehoos to remedy the breach as soon as practicably possible.

5.0 LIMITED LIABILITY

5.1 - The User acknowledges that
5.1.1 the transmission of information via the internet is not completely secure, and that although Warehoos will take commercially reasonable steps to protect personal information, Warehoos cannot guarantee the security of the personal information it receives or other data transmitted to the Warehoos Platform, and any such transmission is at the User’s own risk; and
5.1.2 the Warehoos Platform contains links to third party websites which are not governed by this Privacy Policy, and Warehoos is not responsible for the collection, use or disclosure of personal information by such third party websites.

5.2 - Warehoos has no liabilities to anyone, including the Users, in respect of the personal information in the possession and control of Warehoos (including loss, destruction, or theft of personal information), except for the duty of reasonable care in the safekeeping of personal information in accordance with the Privacy Protection Legislation.

6.0 PRIVACY OFFICER

6.1 - Warehoos has appointed a Privacy Officer to oversee all aspects of this Policy, including the implementation, revisions, and enforcement of this Policy. If anyone has any questions or concerns regarding the use of personal information and/or this Policy, please contact the Privacy Officer of Warehoos, in writing:

7.0 GENERAL PROVISIONS

7.1 - Warehoos will not be liable for any delay in performing any of its obligations under this Policy if such delay is caused by circumstances beyond the reasonable control of Warehoos {211868-03934024;2} and Warehoos will be entitled to a reasonable extension of time for the performance of such obligations.

7.2 - Warehoos's failure to insist on or delay in enforcing strict performance of this Policy shall not be construed as a waiver by Warehoos of any provision or any right it has to enforce this Policy, nor shall any course of conduct between Warehoos and the User or any other party be deemed to modify any provision of this Policy, unless it is in accordance the provisions set out in this Policy.

7.3 - All provisions of this Policy are to be construed as separate and distinct covenants and agreements, separable from all other separate and distinct covenants and agreements. If any term or condition of this Policy is determined to be illegal, void, or unenforceable, it and they will be considered separate and severable from this Policy and its remaining provisions will remain enforced and be binding upon the User.

7.4 - This Policy constitutes the entire agreement between Warehoos and the Users with respect to the subject matter of this Policy, and supersedes all prior negotiations, promises, representations, and agreements, both written and oral, between Warehoos and the Users. Any modification of this Policy is void and unenforceable unless it is in writing and signed by an authorized signatory of Warehoos and delivered to all parties.

7.5 - The Policy will be governed by and interpreted in accordance with the laws of the Province of British Columbia and the laws of Canada. Unless otherwise required under applicable Privacy Protection Legislation, the User hereby consents and submits to the exclusive jurisdiction of the courts of the Province of British Columbia in any action or proceedings related to the User’s personal information and its treatment under this Policy.
